1. Agreement to Terms

By accessing or using TingWo (the "Service"), available as a web app at https://tingwo.app and as an Android app on the Google Play Store, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

Before continuing, please also review our Privacy Policy.

TingWo is operated by Codoha Ltd. ("Codoha," "we," "our," or "us").

2. Description of the Service

TingWo turns Chinese text you paste or photograph into a personalized, spoken-first spaced-repetition vocabulary trainer. It identifies likely-new vocabulary, lets you build and review word lists on a spaced-repetition schedule, generates example sentences and audio, and provides Speaking practice in which you record and compare your pronunciation on your own device. AI-powered features rely on external AI providers as described in our Privacy Policy. The Service is offered both as a web application and as an Android application.

3. Your Account

The Service creates an anonymous account for you automatically so your progress can be saved. You may optionally sign in with an email address, including through a third-party identity provider such as Google, to make your account persistent across devices. You are responsible for activity that occurs under your account and for maintaining the security of any credentials you use.

4. Fees

The Service is currently provided free of charge. We may introduce paid plans or features in the future; if we do, we will present pricing and terms before you are charged, and continued use of any paid feature will be subject to those terms. Purchases made through the Android app may be processed using Google Play's billing system and are additionally subject to its terms.

If and when we offer paid features, consumers resident in the EU/EEA and the UK will receive the statutory pre-contract information and, where applicable, the statutory right to withdraw from the purchase within 14 days, in each case as required by the consumer-protection law of their country of residence.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation.
Infringe the intellectual property or other rights of others.
Submit, paste, photograph, or process content that is unlawful, harmful,

abusive, defamatory, obscene, hateful, or otherwise objectionable.

Process content that you do not have the necessary rights, licenses, or

permissions to use.

Submit sensitive personal information (such as government identifiers, financial,

health, or login credentials) to AI-powered features.

Misuse, overload, or attempt to circumvent rate limits or other protections of

the Service.

Reverse engineer, decompile, scrape, or attempt to gain unauthorized access to

any part of the Service or its underlying systems.

Violate the acceptable-use or prohibited-use policies of our AI providers.

6. AI-Generated Content

The Service uses AI to produce vocabulary analysis, phonetics (such as pinyin and zhuyin), translations, example sentences, and synthesized audio. AI output may be inaccurate, incomplete, or unsuitable for your purpose. TingWo is a learning aid, not a professional translation, certification, or educational service. Verify important information independently before relying on it.

7. Mobile App and App Stores

The TingWo Android app is distributed through the Google Play Store. Your download and use of the app is additionally subject to the Google Play Terms of Service and any other terms the store imposes, and you agree to comply with them.

You acknowledge that:

Google is not a party to these Terms and is not responsible for the app or

its content. These Terms are between you and Codoha only.

Codoha, not the app store, is solely responsible for the app, including

support, maintenance, and any warranty or legal claims relating to it, to the extent permitted by law.

The app is licensed to you, not sold, for your personal, non-commercial use,

subject to these Terms.

The app may request device permissions (such as camera, microphone, and

notifications) as described in our Privacy Policy. You can grant or revoke these in your device settings.

You must comply with all applicable third-party terms and any export-control or

sanctions laws that apply to your use of the app.

8. Intellectual Property

The Service and its original content, features, and functionality are and remain the exclusive property of Codoha Ltd. and its licensors.

You retain ownership of the Content you submit. By using features that process your Content, you grant Codoha and the sub-processors necessary to operate those features a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and transmit your Content solely to operate, provide, and improve the specific features you use. You are solely responsible for your Content and represent that you have the rights necessary to submit it.

9. Limitation of Liability

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or wilful misconduct, and including your mandatory rights as a consumer. The limitations below apply only to the extent permitted by the law that applies to you.

To the maximum extent permitted by law, Codoha Ltd. and its affiliates, agents, directors, employees, suppliers, and licensors shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, use, or data, arising from your use of or inability to use the Service.

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. This does not affect any warranty or conformity rights you have as a consumer under the mandatory law of your country of residence.

To the maximum extent permitted by law, and except for liability that cannot be limited as described above, Codoha Ltd.'s total liability shall not exceed the amount you paid, if any, for the Service, or USD 10, whichever is less.

10. Disclaimer

Your use of the Service is at your sole risk. The Service depends on third-party service providers, including hosting, database, and AI providers. We do not guarantee that these services, or the Service itself, will always be available, uninterrupted, secure, or error-free.

11. Indemnification

You agree to defend, indemnify, and hold harmless Codoha Ltd. and its officers, directors, employees, contractors, agents, and licensors from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, the Content you process, or your breach of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

13. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date above, and will provide notice of material changes where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of China (Taiwan), without regard to conflict-of-law provisions. You agree to submit to the exclusive jurisdiction of the Hualien District Court, Taiwan, for any disputes arising from these Terms or the Service.

Consumers in the EU/EEA and the UK. If you are a consumer resident in the European Economic Area or the United Kingdom, the choice of Taiwan law above does not deprive you of the protection of the mandatory consumer-protection rules of your country of residence, and those mandatory rules continue to apply to you. Nothing in these Terms limits your right, as such a consumer, to bring proceedings in, or requires you to submit to any court other than, the courts of your country of residence where mandatory law so provides; the exclusive jurisdiction of the Hualien District Court does not apply to you to that extent.

15. General

These Terms constitute the entire agreement between you and Codoha regarding the Service and supersede any prior agreements. If any provision is held unenforceable or invalid, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
